STANDARD TERMS AND CONDITIONS OF SALE
1. Supremacy of Terms The Client acknowledges that these Terms and Conditions supersede any standard terms provided by the Client, even if the Client’s terms are sent after this agreement. No modification or waiver of these terms shall be valid unless expressly agreed to in writing by an authorized representative of TheMajesticNetwork.
2. Payment Terms & Suspension of Service Unless otherwise specified on the invoice or order (e.g., immediate payment for monthly hosting), all invoices are payable within fourteen (14) calendar days of the invoice date.
- Late Fees: In the event of non-payment by the due date, TheMajesticNetwork reserves the right to charge a late fee of 1.5% per month (or the maximum allowed by law) on the outstanding balance.
- Suspension: TheMajesticNetwork acts as a service provider; therefore, we reserve the right to suspend any and all services (including website hosting, API access, or development work) immediately and without prior warning if an invoice remains unpaid past its due date. We are not liable for any damages or loss of business resulting from a suspension due to non-payment.
3. Debt Recovery If an account remains delinquent for more than sixty (60) days, TheMajesticNetwork reserves the right to refer the account to a third-party debt recovery agency or legal counsel. The Client agrees to pay all reasonable costs associated with the collection of the debt, including but not limited to agency fees, attorney fees, and court costs.
4. Taxes & Withholding Prices quoted are net of tax. The Client is responsible for paying all applicable taxes, duties, or withholdings required by their local jurisdiction. If the Client is required by law to withhold any amount from the payments due to TheMajesticNetwork, the Client shall increase the gross amount paid so that the net amount received by TheMajesticNetwork equals the full amount of the invoice. TheMajesticNetwork is not responsible for the Client’s local tax compliance.
5. Service Level & Limitation of Liability TheMajesticNetwork undertakes to use commercially reasonable efforts ("Best Efforts") to provide performant services and maintain uptime.
- No Warranty: Services are provided "AS IS" and "AS AVAILABLE." We expressly disclaim all warranties, including any implied warranty of fitness for a particular purpose. We do not guarantee that the service will be uninterrupted or error-free.
- Liability: Under no circumstances shall TheMajesticNetwork be held liable for indirect, incidental, or consequential damages (including lost profits or data). We cannot be compelled to appear as a third party in any dispute between the Client and their end-users.
6. Claims & Notification To be considered valid, any claim regarding defects in service or billing disputes must be submitted to TheMajesticNetwork in writing (via email to support or certified mail) within eight (8) days of the service provision or invoice date. Failure to raise a claim within this window constitutes acceptance of the service/invoice.
7. Governing Law & Jurisdiction These terms and all contractual relations between the parties shall be governed by and construed in accordance with the laws of the State of Colorado. The parties hereby submit to the exclusive jurisdiction of the state and federal courts located within Colorado for any disputes arising from this agreement.
